Terms and Conditions – OfficeBridge Global Platform

Welcome to OfficeBridge. These Terms and Conditions (“Terms”, “Agreement”, or “Contract”) establish the legally binding framework governing the access to and use of OfficeBridge’s websites, applications, software, managed hosting environments, and related cloud or professional services (collectively, the “Services”).

By using, accessing, or registering for any OfficeBridge Service, you (“Client”, “User”, “Customer”, “Subscriber”, or “you”) acknowledge and agree to be bound by these Terms in full. If you are acting on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, and all references to “you” shall include such entity. If you do not agree with these Terms, you must not access or use the Services.

1. Purpose and Scope

This Agreement outlines the terms under which OfficeBridge provides its enterprise-grade technology solutions, including managed cloud infrastructure, virtual desktop services, collaboration environments, and supporting applications. The Services are designed for professional and organizational use and are not intended for personal or consumer usage unless explicitly permitted.

These Terms apply globally to all users and clients, regardless of geographical location, access medium, or contractual arrangement, unless otherwise superseded by a written agreement executed between OfficeBridge and a specific client.

2. Definitions

  • “Account” means a registered profile created by or on behalf of the user to access the Services.
  • “Administrator” refers to an authorized user designated by the client to manage and configure access permissions.
  • “Content” includes all data, files, text, images, code, configurations, or other material uploaded, generated, or transmitted through the Services.
  • “Service Agreement” refers to the specific commercial document or digital confirmation outlining pricing, billing terms, and subscription details.
  • “Confidential Information” means all proprietary or sensitive data disclosed between the parties in connection with the Services.
  • “Documentation” includes manuals, specifications, user guides, and policies published by OfficeBridge regarding the use of the Services.
  • “Intellectual Property” encompasses patents, copyrights, trademarks, trade secrets, design rights, and all related intangible rights worldwide.
  • “System” refers to the collective infrastructure, software, and environment operated by OfficeBridge for service delivery.

3. Acceptance of Terms

Access to the Services signifies acceptance of these Terms and the accompanying Privacy Policy. Your continued use after modifications to these Terms constitutes acceptance of the revised version. OfficeBridge reserves the right to modify, suspend, or discontinue any aspect of the Services at its discretion without liability, provided reasonable notice is given where practicable.

4. Account Registration and Access Control

  • Users must provide accurate, current, and complete information during registration and maintain its accuracy throughout use.
  • Each account is personal to the user or entity; credentials must not be shared or transferred without authorization.
  • The client administrator is responsible for managing and revoking user access within their organization.
  • OfficeBridge reserves the right to suspend or terminate access for any violation of these Terms or suspicious activity compromising security or integrity.
  • You are responsible for maintaining the confidentiality of your account credentials and for all actions performed under your account.

5. Service Provision

OfficeBridge shall deliver Services in accordance with applicable service descriptions, user documentation, and performance standards. Services are provided on an “as available” and “as is” basis, subject to periodic maintenance, updates, and enhancements.

  • OfficeBridge may introduce new features or retire obsolete ones at its discretion to maintain service quality.
  • Service performance may vary depending on user configuration, connectivity, third-party integrations, or infrastructure capacity.
  • All hosting environments are monitored 24/7 with automated and manual oversight for operational reliability.

6. Client Responsibilities

By using the Services, you agree to the following obligations:

  • Use the Services only for lawful purposes and in accordance with applicable laws and internal governance policies.
  • Ensure that your data does not infringe on the rights of any third party or contain unlawful, defamatory, or harmful material.
  • Implement adequate safeguards within your organization to prevent unauthorized access or disclosure of account credentials.
  • Promptly notify OfficeBridge of any security incidents, unauthorized use, or suspected breach of confidentiality.
  • Comply with any reasonable operational, technical, or policy directives issued by OfficeBridge to maintain service integrity.

7. Acceptable Use Policy

Users and clients must not engage in, encourage, or facilitate any of the following activities through OfficeBridge Services:

  • Attempting to gain unauthorized access to systems, data, or networks.
  • Deploying malware, viruses, or malicious code.
  • Engaging in spam, phishing, or unauthorized mass messaging.
  • Using the Services for fraudulent, deceptive, or illegal activities.
  • Infringing upon intellectual property rights of OfficeBridge or third parties.
  • Disrupting or interfering with the normal operation of the Services.
  • Conducting penetration tests, vulnerability scans, or reverse engineering without written consent.

Violations may result in immediate suspension or termination of access without prior notice and may expose violators to legal action.

8. Service Availability and Maintenance

OfficeBridge employs redundant systems, backup protocols, and geographically distributed data centers to ensure high availability. However, occasional downtime may occur due to planned maintenance, upgrades, or unforeseen disruptions. OfficeBridge will make reasonable efforts to communicate scheduled maintenance windows in advance.

No guarantee is made for uninterrupted availability, and OfficeBridge shall not be liable for any damages resulting from service interruptions beyond its reasonable control.

9. Fees, Billing, and Payment Terms

  • All Services are subject to fees as detailed in the applicable Service Agreement or online pricing schedule.
  • Payments are due in advance unless otherwise agreed in writing.
  • Late payments may result in suspension or termination of Services after written notice.
  • All fees are exclusive of applicable taxes, duties, or levies, which are the client’s responsibility.
  • Refunds, if applicable, are provided only as explicitly stated in a written agreement.
  • Currency exchange and transaction fees from payment providers are borne by the client.

10. Confidentiality

Each party agrees to protect the other’s Confidential Information with the same degree of care it uses to protect its own, and not to disclose or use it for any purpose other than fulfilling contractual obligations. Confidential Information excludes information that:

  • Is publicly available without breach of confidentiality.
  • Was lawfully known before disclosure.
  • Is independently developed without reference to the disclosed material.
  • Is required to be disclosed by law, provided prompt notice is given to the other party.

11. Intellectual Property Rights

All intellectual property, including trademarks, source code, designs, databases, algorithms, and documentation, remains the exclusive property of OfficeBridge or its licensors. No ownership rights are transferred to users under this Agreement.

Clients retain ownership of their own content and data but grant OfficeBridge a limited, non-exclusive, worldwide license to process, store, transmit, and display such content as necessary to provide the Services.

12. Data Ownership and Protection

OfficeBridge acknowledges that all data uploaded by clients remains their exclusive property. We process data solely under client instruction and in accordance with our Privacy Policy. OfficeBridge implements robust security controls to safeguard client data against loss, theft, or unauthorized disclosure.

Clients are encouraged to maintain independent backups and to export critical data before terminating services.

13. Third-Party Services and Integrations

OfficeBridge may provide integrations or interoperability with third-party tools or applications. Such integrations are provided “as is” without warranty, and OfficeBridge assumes no responsibility for the security, availability, or performance of third-party systems. Your use of any third-party integration is subject to their respective terms of service and privacy policies.

14. Warranties and Disclaimers

  • OfficeBridge provides the Services on an “as is” and “as available” basis.
  • We make no representation that Services will be uninterrupted, error-free, or meet all user expectations.
  • To the maximum extent permitted, all warranties—express, implied, statutory, or otherwise—are disclaimed, including warranties of merchantability, fitness for purpose, non-infringement, or performance.
  • Users acknowledge inherent risks of Internet-based technologies and assume responsibility for ensuring compatibility and protection of their systems.

15. Limitation of Liability

To the fullest extent permitted by law, OfficeBridge and its affiliates, directors, and employees shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including loss of profits, data, goodwill, or opportunity, arising from or relating to the use or inability to use the Services, even if advised of the possibility of such damages.

OfficeBridge’s total aggregate liability for any claim shall not exceed the total amount paid by the client for the Services in the twelve (12) months preceding the claim.

16. Indemnification

You agree to indemnify and hold harmless OfficeBridge, its affiliates, officers, employees, and partners from and against any claims, damages, liabilities, or expenses arising out of or related to:

  • Your use or misuse of the Services;
  • Your breach of these Terms;
  • Your violation of any applicable law or rights of a third party.

17. Term and Termination

This Agreement remains effective from the date of acceptance until terminated by either party. Either party may terminate this Agreement upon written notice if:

  • The other party commits a material breach not cured within thirty (30) days of notice.
  • The client becomes insolvent, ceases operations, or initiates liquidation.
  • OfficeBridge discontinues the Service or modifies it materially, subject to notice.

Upon termination, all user rights immediately cease, and access to Services may be disabled. OfficeBridge will provide reasonable opportunity for data export prior to deletion, unless prohibited by law or breach of Terms.

18. Suspension of Service

OfficeBridge reserves the right to suspend access temporarily or permanently if it detects unauthorized access, potential security threats, payment default, or breach of obligations. Suspensions will be executed proportionately to the risk or violation identified.

19. Force Majeure

Neither party shall be held liable for any delay or failure in performance caused by events beyond reasonable control, including natural disasters, war, civil unrest, embargoes, power failures, cyberattacks, labor disputes, or government actions.

20. Communications and Notices

Official notices shall be sent electronically to the registered client email address or through OfficeBridge’s designated communication channels. Legal notices to OfficeBridge shall be sent to privacy@officebridge.io. Notices are deemed delivered upon electronic transmission confirmation.

21. Modifications and Updates

OfficeBridge may update these Terms periodically to reflect operational changes, legal developments, or service enhancements. Updates will be posted on the official website, and material changes may be notified via email. Continued use of Services after updates constitutes acceptance of the revised Terms.

22. Export Control and Global Compliance

Clients acknowledge that the Services may be subject to international trade controls and agree not to use or distribute them in violation of applicable export laws. Users are responsible for compliance with all local regulations when accessing the Services across jurisdictions.

23. Data Retention and Deletion

Upon termination or expiration, client data will be retained for a limited period as defined in internal retention policies to facilitate restoration, audits, or dispute resolution. Thereafter, it will be securely deleted or anonymized, consistent with OfficeBridge’s data lifecycle management practices.

24. Governing Principles

This Agreement shall be interpreted under principles of fairness, good faith, and global commercial reasonableness, without reference to any specific national jurisdiction. Any disputes shall be resolved through negotiation, mediation, or arbitration consistent with internationally recognized standards of enterprise contract resolution.

25. Entire Agreement

These Terms, together with the Privacy Policy and any additional written agreements, constitute the complete understanding between OfficeBridge and the client regarding the Services and supersede all prior communications, proposals, or understandings.

26. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Invalid provisions will be replaced with valid ones that most closely reflect the original intent.

27. Assignment

Clients may not assign or transfer their rights under this Agreement without prior written consent from OfficeBridge. OfficeBridge may assign its rights or obligations to an affiliate, subsidiary, or successor entity as part of a merger, acquisition, or reorganization.

28. Relationship of the Parties

Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship. Each party remains an independent contractor responsible for its own obligations and personnel.

29. Audit Rights

OfficeBridge reserves the right to audit client usage of the Services for compliance with these Terms. Clients must provide reasonable cooperation and access to relevant records during such reviews.

30. Feedback and Suggestions

OfficeBridge welcomes feedback, ideas, and suggestions to improve the Services. By submitting feedback, you grant OfficeBridge a perpetual, royalty-free, transferable license to use and incorporate it into our offerings without obligation or attribution.

31. Waiver

Failure by OfficeBridge to enforce any provision shall not constitute a waiver of its rights under this Agreement. Any waiver must be made in writing and signed by authorized representatives.
